These PCRecruiter Vendor API Access Terms (the “Terms”) are between Main Sequence Technology, Inc., doing business as PCRecruiter (“PCRecruiter”), and the company or other legal entity identified in the applicable API access application (“Vendor”).
By submitting an API access application, accepting these Terms, requesting or receiving API credentials, or accessing or using the PCRecruiter API on Vendor’s behalf, the individual accepting these Terms represents that the individual has authority to bind Vendor and agrees to these Terms on Vendor’s behalf.
1. Definitions
- “API” means any application programming interface, webhook, development environment, documentation, credentials, software, tools, or related services made available by PCRecruiter.
- “App Credentials” means any App ID, API key, token, password, client identifier, secret, or other credential or identifier used to access or identify traffic to the API.
- “Approved Integration” means the application, service, or integration identified in Vendor’s application and approved by PCRecruiter in writing.
- “Approved Use” means the specific purpose, functionality, data access, customer population, endpoints, and expected usage described in Vendor’s application and approved by PCRecruiter.
- “Customer” means a PCRecruiter customer that has separately authorized Vendor to access its PCRecruiter account or Customer Data.
- “Customer Data” means any data, record, file, attachment, personal information, configuration, credential, or other content belonging to or controlled by a Customer and accessed through PCRecruiter.
2. Application, Acceptance, and Approval
- Vendor will provide complete and accurate information in its API access application and in response to PCRecruiter’s follow-up questions. Vendor will promptly update that information if it changes.
- Acceptance of these Terms or submission of an application does not guarantee approval, App Credentials, production access, a particular usage limit, technical support, marketplace placement, or continued access.
- API access begins only after PCRecruiter approves the application and issues or authorizes the applicable App Credentials.
- Approval is limited to the Approved Integration and Approved Use. Vendor must obtain PCRecruiter’s prior written approval before making a material change, including a change to:
- The purpose or functionality of the Approved Integration.
- The categories or volume of Customer Data accessed.
- The endpoints, write capabilities, customer population, or traffic profile.
- The use of artificial intelligence, machine learning, subprocessors, or new hosting environments.
- Bulk export, migration, backup, database replication, or data synchronization functions.
- Vendor’s ownership or the party operating the Approved Integration.
- PCRecruiter may approve, reject, condition, limit, or withdraw an application or Approved Use in its discretion.
3. Limited Right to Use the API
Subject to Vendor’s continued compliance with these Terms, PCRecruiter grants Vendor a limited, revocable, nonexclusive, nontransferable, and nonsublicensable right to access and use the API solely to develop, test, operate, and support the Approved Integration for the Approved Use.
No other right or license is granted. Vendor may not use the API or App Credentials for another product, affiliated company, customer population, or use case without PCRecruiter’s prior written approval.
4. Customer Authorization
- PCRecruiter’s approval of Vendor or issuance of an App ID does not authorize access to any Customer account or Customer Data.
- Before accessing a Customer account, Vendor must obtain and maintain the Customer’s express authorization through a method approved by PCRecruiter. Vendor will retain evidence of that authorization and provide it to PCRecruiter upon request.
- Vendor may access only the Customer accounts, Customer Data, and functions necessary for the Approved Use and authorized by the applicable Customer.
- Vendor must provide Customers with a reasonable way to disconnect the Approved Integration. Vendor will stop accessing a Customer account promptly after the Customer withdraws authorization, closes its account, or instructs Vendor to disconnect.
- Vendor is responsible for its relationship with each Customer, including its own terms, privacy notices, consents, support, and compliance obligations. PCRecruiter is not a party to any agreement between Vendor and a Customer.
5. App Credentials and Request Identification
- Vendor will protect App Credentials against unauthorized access, use, disclosure, or loss. Vendor may disclose them only to personnel and service providers that need access to operate the Approved Integration and are bound by confidentiality and security obligations at least as protective as these Terms.
- Vendor will not publish App Credentials, place them in public repositories, embed secrets in client-side code, transfer them to another party, or use Customer or user credentials as a substitute for Vendor’s assigned App Credentials.
- Vendor is responsible for all activity attributed to its App Credentials, systems, personnel, contractors, and Approved Integration.
- Vendor will include its assigned App ID, required authentication information, and accurate integration-identifying headers or user-agent information in every request as required by PCRecruiter documentation or instructions.
- Vendor will not alter headers, user-agent information, IP addresses, credentials, account identifiers, or other request attributes to conceal traffic or avoid monitoring, security controls, billing, or usage limits.
- Vendor will notify PCRecruiter immediately of any suspected loss, compromise, or unauthorized use of App Credentials. PCRecruiter may issue, rotate, disable, or revoke App Credentials at any time.
6. Usage Limits and System Protection
- PCRecruiter may establish and enforce request, concurrency, endpoint, data-volume, daily-volume, or other usage limits. Limits may be applied by Vendor, Approved Integration, App ID, API key, Customer, user credential, endpoint, IP address, access plan, or aggregate traffic.
- Vendor will comply with the limits and technical requirements stated in PCRecruiter’s documentation, approval notice, or written instructions. Vendor will not attempt to bypass a limit by distributing traffic across credentials, Customers, accounts, IP addresses, user agents, workers, processes, queues, or environments.
- Vendor will maintain centralized controls capable of limiting aggregate request volume and simultaneous requests across all Customers and systems using the Approved Integration.
- Vendor will honor HTTP 429 responses, Retry-After instructions, and other throttling or service-protection signals. Vendor will use reasonable exponential backoff with jitter and prevent queued work from immediately replacing rejected or delayed requests. PCRecruiter may require Vendor to implement a global pause, circuit breaker, or other traffic-control mechanism.
- Vendor will use webhooks, change tracking, batching, caching, or other efficient methods when supported or directed by PCRecruiter. Vendor will not use unnecessarily frequent polling.
- Vendor will not perform load, stress, penetration, or performance testing against the API or PCRecruiter systems without prior written approval.
- Vendor will not run unbounded, repeated, broad, or computationally intensive searches or requests that impair service or disregard PCRecruiter documentation or written instructions. PCRecruiter may require Vendor to change query patterns, operators, endpoints, concurrency, or scheduling.
- Vendor will take prompt corrective action when notified of excessive, inefficient, or harmful traffic.
7. Prohibited Uses
Vendor will not, and will not permit another party to:
- Access or use the API or Customer Data outside the Approved Use.
- Access a Customer account without current authorization.
- Sell, license, disclose, distribute, or otherwise make the API, App Credentials, or Customer Data available except as expressly permitted by these Terms.
- Scrape, harvest, export, or extract data beyond what is reasonably necessary for the Approved Use.
- Create an independent database, wholesale copy, backup, migration service, or substantial replica of PCRecruiter or Customer Data without prior written approval.
- Use the API or Customer Data to build, train, benchmark, or improve a generalized or shared artificial intelligence or machine-learning model, or to create a shared dataset, without the prior written approval of both PCRecruiter and the affected Customer.
- Use the API or Customer Data for advertising, data brokerage, unrelated enrichment, cross-customer profiling, competitive benchmarking, or any purpose not expressly authorized by the Customer and approved by PCRecruiter.
- Use the API to develop or operate a product or service intended to replace PCRecruiter or replicate substantial PCRecruiter functionality, unless PCRecruiter has expressly approved that use in writing.
- Reverse engineer, decompile, disassemble, probe, or attempt to discover source code or nonpublic methods underlying the API or PCRecruiter software, except to the limited extent applicable law prohibits this restriction.
- Introduce malware, malicious code, vulnerabilities, or harmful content.
- Interfere with, disrupt, overload, damage, or gain unauthorized access to PCRecruiter, the API, a Customer account, or another party’s systems or data.
- Circumvent authentication, authorization, rate limiting, security, monitoring, or billing controls.
- Use the API in violation of applicable law, third-party rights, PCRecruiter documentation, or written PCRecruiter instructions.
8. Customer Data, Privacy, and Security
- As between PCRecruiter and the Customer, Customer Data remains under the Customer’s ownership and control. These Terms do not grant Vendor ownership of Customer Data.
- Vendor will process Customer Data only to provide the Approved Integration to the authorizing Customer and only in accordance with the Customer’s documented instructions, Vendor’s applicable agreement with the Customer, these Terms, and applicable law.
- Vendor will collect and retain only the minimum Customer Data reasonably necessary for the Approved Use. Vendor will logically segregate Customer Data and prevent access or use across Customers except where a Customer has expressly authorized it and PCRecruiter has approved it.
- Vendor will maintain commercially reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the Customer Data. At a minimum, Vendor will use encryption in transit and at rest, least-privilege access, access logging, secure credential storage, vulnerability management, timely security patching, and a documented incident-response process.
- Vendor is responsible for its employees, contractors, subprocessors, hosting providers, and other service providers. Vendor will ensure that each party with access to Customer Data is bound by written privacy, confidentiality, and security obligations consistent with these Terms.
- Vendor will comply with all privacy, data-protection, security, employment, communications, and other laws applicable to its integration and processing of Customer Data. Vendor is responsible for determining whether it needs a separate data processing agreement or other terms with a Customer.
- PCRecruiter may require a security review, data processing addendum, additional written agreement, or additional safeguards for elevated access, sensitive processing, international transfers, unusual data volume, artificial-intelligence use, or other higher-risk activity.
- Vendor will maintain current, publicly available terms of service and a privacy policy accurately describing the Approved Integration’s data practices.
9. Security Incidents
- Vendor will notify PCRecruiter without undue delay, and no later than 24 hours after discovery, of any actual or reasonably suspected unauthorized access to or disclosure, loss, alteration, or misuse of App Credentials, the API, or Customer Data, or any security event that may affect PCRecruiter or a Customer (“Security Incident”).
- Notice must be sent to support@mainsequence.net and must include the information then available concerning the nature, scope, timing, affected Customers and data, containment, and remediation. Vendor will provide continuing updates as material information becomes available.
- Vendor will promptly contain and remediate the Security Incident, preserve relevant evidence, cooperate with PCRecruiter’s investigation and response, and not make a public statement identifying PCRecruiter without prior consultation unless legally required.
- Vendor is responsible for notifications, remediation, costs, and other obligations arising from a Security Incident caused by Vendor or its personnel, systems, subprocessors, or Approved Integration.
10. Retention, Return, and Deletion
- When a Customer’s authorization ends, Vendor will stop collecting Customer Data and, within 30 days, delete or return Customer Data obtained through the API unless the Customer instructs otherwise or applicable law requires retention.
- If retention is legally required, Vendor will isolate the retained data, protect it under these Terms, use it only for the legally required purpose, and delete it when retention is no longer required.
- Upon termination of Vendor’s API access, Vendor will stop using the API, destroy all App Credentials, and delete Customer Data obtained through the API unless PCRecruiter or the applicable Customer provides different written instructions. During a suspension, Vendor will stop using the API and will delete Customer Data or destroy App Credentials if directed by PCRecruiter or the applicable Customer.
- Vendor will certify deletion in writing upon request.
11. Vendor Development and Support Responsibilities
- Vendor is solely responsible for designing, developing, testing, operating, maintaining, documenting, and supporting the Approved Integration.
- Vendor will test changes before production deployment and will not knowingly deploy changes that create unreasonable security, data-integrity, performance, or availability risk.
- Vendor will provide first-line support to its Customers and will reasonably investigate its own code, logs, configuration, credentials, traffic, and third-party dependencies before escalating an issue to PCRecruiter.
- Unless separately agreed in writing, API access is self-service. PCRecruiter’s standard customer support does not include debugging Vendor code, building or modifying Vendor integrations, data reconciliation, custom development, or guaranteed response times.
- PCRecruiter may offer professional services, elevated access, or additional support under separate written terms and fees.
12. Monitoring, Records, and Cooperation
- PCRecruiter may monitor, log, analyze, and audit API activity to operate and protect its services, enforce these Terms, confirm billing, investigate incidents, and understand API usage.
- Vendor will maintain reasonable operational records for the Approved Integration, including request volume, concurrency, endpoints, affected Customers, response status, errors, retries, and security events. Vendor will retain records sufficient for incident investigation for at least 90 days, unless a longer period is required by law or a separate agreement.
- Upon reasonable request, Vendor will provide information, logs, security documentation, authorization evidence, and a remediation plan sufficient for PCRecruiter to investigate use of the API, protect Customers, or verify compliance.
- Vendor will cooperate promptly with stability, security, privacy, support, and compliance investigations.
13. API Availability, Changes, and Fees
- PCRecruiter may modify, replace, deprecate, suspend, or discontinue any part of the API, documentation, authentication method, feature, endpoint, field, or limit.
- PCRecruiter will make commercially reasonable efforts to provide advance notice of material nonemergency changes when practical. PCRecruiter may act without advance notice when reasonably necessary for security, stability, legal compliance, Customer protection, or prevention of abuse.
- PCRecruiter does not guarantee backward compatibility, continued availability of any endpoint or function, approval for production use, or any minimum request volume.
- API access is not guaranteed to be free. Applicable fees, usage allowances, support charges, and elevated-access charges may be stated in an access plan, order, invoice, approval notice, or separate written agreement. Vendor’s continued use after a new charge takes effect requires Vendor’s acceptance of that charge.
14. Suspension and Termination
- PCRecruiter may immediately throttle, serialize, restrict, block, or suspend any request, endpoint, Customer connection, App Credential, Approved Integration, or Vendor access when PCRecruiter reasonably believes the activity:
- Threatens security, stability, performance, or data integrity.
- Creates excessive or abusive load.
- Lacks Customer authorization.
- Violates these Terms, applicable law, documentation, or written instructions.
- Is based on inaccurate or incomplete application information.
- Creates material risk to PCRecruiter, a Customer, or another party.
- When practical, PCRecruiter will provide notice and an opportunity to cure. PCRecruiter is not required to provide advance notice before taking emergency or protective action.
- PCRecruiter may require a written remediation plan, technical changes, security evidence, or successful testing before restoring access.
- Either party may terminate Vendor’s API access upon written notice. Sections that by their nature should survive termination will survive, including provisions concerning Customer Data, deletion, confidentiality, intellectual property, disclaimers, liability, indemnification, and general legal terms.
15. Intellectual Property, Branding, and Relationship
- PCRecruiter and its licensors retain all rights in PCRecruiter, the API, documentation, App Credentials, trademarks, and related technology. Vendor retains its rights in the Approved Integration, excluding PCRecruiter technology and Customer Data.
- Vendor may provide feedback about the API. Vendor grants PCRecruiter a perpetual, worldwide, royalty-free right to use that feedback without restriction or obligation.
- Vendor may not use PCRecruiter’s name, logo, trademarks, screenshots, or branding, issue a public announcement, or claim that Vendor or the Approved Integration is certified, verified, endorsed, listed, or approved by PCRecruiter without prior written permission.
- API approval does not create a partnership, agency, joint venture, reseller relationship, referral arrangement, exclusivity obligation, endorsement, marketplace listing, or authority for either party to bind the other. Any such relationship requires a separate written agreement.
16. Confidentiality
Vendor may receive nonpublic technical, security, operational, business, or Customer information from PCRecruiter. Vendor will protect that information using at least reasonable care, use it only for the Approved Use, and disclose it only to personnel and service providers that need it and are bound by appropriate confidentiality obligations.
These restrictions do not apply to information Vendor can document was lawfully known without restriction, independently developed without use of the confidential information, received lawfully from a third party without a duty of confidentiality, or made public through no breach of these Terms. If disclosure is legally required, Vendor will provide advance notice when legally permitted and disclose only what is required.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE API, DOCUMENTATION, APP CREDENTIALS, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PCRECRUITER DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.
PCRECRUITER DOES NOT WARRANT THAT THE API OR CUSTOMER DATA WILL MEET VENDOR’S REQUIREMENTS, REMAIN AVAILABLE, BE COMPLETE OR ACCURATE, OR BE COMPATIBLE WITH THE APPROVED INTEGRATION. VENDOR USES THE API AT ITS OWN RISK AND IS RESPONSIBLE FOR ITS INTEGRATION, DATA MAPPING, TESTING, BACKUPS, AND RESULTS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PCRECRUITER AND ITS AFFILIATES, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS, DATA, OR USE, ARISING OUT OF OR RELATED TO THE API, THE APPROVED INTEGRATION, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
PCRECRUITER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE API, THE APPROVED INTEGRATION, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT VENDOR PAID DIRECTLY TO PCRECRUITER SPECIFICALLY FOR API ACCESS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the form of action and to the maximum extent permitted by applicable law.
19. Indemnification
Vendor will defend, indemnify, and hold harmless PCRecruiter and its affiliates, officers, directors, employees, and agents from third-party claims, demands, proceedings, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and reasonable legal fees arising out of or related to:
- The Approved Integration or Vendor’s products, services, representations, or support.
- Vendor’s access to or use of the API or Customer Data.
- Vendor’s breach of these Terms, applicable law, or a Customer’s authorization.
- A Security Incident caused by Vendor or its personnel, systems, subprocessors, or Approved Integration.
- Allegations that the Approved Integration infringes, misappropriates, or otherwise violates a third party’s rights.
PCRecruiter will provide reasonable notice of a covered claim and reasonable cooperation at Vendor’s expense. Vendor may not settle a claim in a manner that admits fault by, imposes obligations on, or restricts PCRecruiter without PCRecruiter’s prior written consent.
20. Changes to These Terms
PCRecruiter may update these Terms. Nonmaterial updates may take effect when posted. For a material update, PCRecruiter will provide notice to Vendor’s current contact and require affirmative acceptance of the updated version before continued API use. An emergency change reasonably required for security, legal compliance, or service protection may take effect sooner.
Vendor is responsible for keeping its legal, technical, security, and support contacts current.
21. General Terms
- Order of precedence. If Vendor and PCRecruiter have a separate written agreement signed by authorized representatives that expressly governs the same API access, that signed agreement controls to the extent of a direct conflict. Otherwise, these Terms, Vendor’s approved application, the approval notice, and applicable PCRecruiter documentation govern Vendor’s API use. An approval notice or written technical instruction may impose additional restrictions or lower limits.
- Assignment. Vendor may not assign or transfer these Terms, the Approved Integration approval, or App Credentials without PCRecruiter’s prior written consent. PCRecruiter may assign these Terms to an affiliate or successor in connection with a merger, acquisition, reorganization, sale of assets, or change of control.
- Governing law and venue. These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. The state and federal courts located in Lake County, Ohio and the United States District Court for the Northern District of Ohio will have exclusive jurisdiction over disputes arising from these Terms, and Vendor consents to that jurisdiction and venue.
- Notices. Notices to PCRecruiter under these Terms must be sent to contracts@mainsequence.net and to Main Sequence Technology, Inc., P.O. Box 805, Willoughby, OH 44094. PCRecruiter may send notices to the email addresses supplied in Vendor’s application. Operational, security, suspension, and service notices may be sent by email and are effective when sent.
- No waiver. A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and signed by the party granting it.
- Severability. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will remain in effect.
- No third-party beneficiaries. These Terms do not create rights for any third party.
- Entire agreement. Except for an applicable signed agreement described above, these Terms, the approved application, approval notice, and incorporated documentation are the entire agreement between Vendor and PCRecruiter concerning the Approved Integration’s API access and replace prior discussions on that subject.
